Carbon Reduction Plan

Report date: 20 July 2026

Reporting year 1 January 2025 - 31 December 2025

Commitment to achieving Net Zero

Proximie Limited is committed to achieving Net Zero emissions by 2050, across its global operations, with an employee base located in the United Kingdom, the United States, and Lebanon. As a healthcare technology company, our platform connects the people, data, and devices in the operating room to drive surgical throughput and quality. Because efficiency and sustainability are inseparable in surgical care, the same capabilities that help operating rooms run better, through fewer wasted slots, less unnecessary travel, and smarter use ofresources, also support lower-carbon surgical care. Our environmental strategy is therefore not separate from our mission; it is a direct result of delivering on it. The footprint reported below reflects Proximie's own operationalemissions; the wider benefits our platform enables for healthcare providers arerealised by those providers and are not reflected in this document.

Carbon Emissions Footprint

Baseline and reporting year: 2025. As this is our first Carbon Reduction Plan, the 2025 figures represent both the baseline and current-year emissions. Emissions are reported on a global basis in accordance with the GHG Protocol.

Our calculation includes Scope 2 - purchased electricity, including cloud computing and building-supplied generation, and the required Scope 3 - business travel, employee commuting and homeworking, waste generated in operations, and transportation and distribution, mainly from shipment of hardware product. Scope 1 is reported as nil. Proximie has no company vehicles, no owned electricity generation equipment, and no on-site combustion of fuels; office heating and cooling are provided through purchased electricity.

Our two largest sources are business travel and cloud computing, reflecting a globally distributed, cloud-delivered software business. Business travel and cloud emissions are based on actual data from our travel management system and our cloud provider's carbon reporting respectively. Other lines are estimated from activity data, and from spend where metered data is not available. Purchased goods, including IT hardware, are outside the required Scope 3 subset for this reporting year and will be considered as reporting requirements expand from April 2027.

To normalise emissions against business growth, we also report an intensity metric. Based on a workforce of approximately 87 full-time-equivalent (FTE) employees in 2025 (UK 44, Lebanon 30, US 13), our 2025 baseline emissions intensity is 6.0 tCO2e per FTE employee.

The table below sets out the data source and calculation basis for each emission source, and whether the figure is derived from actual (metered or supplier-reported) data or an estimate. Approximately 80% of the total footprint, business travel and cloud computing, is based on actual data. Estimated lines will be progressively replaced with metered and activity-based data as data quality improves.

Emissions Reduction Targets

Proximie Limited is committed to achieving Net Zero emissions by 2050 – a 90% reduction in our absolute emissions per FTE. Because our absolute emissions are expected to rise during a period of headcount growth, we set our interim target on an intensity basis.

Our baseline emissions intensity is 6.0 tCO2e per FTE employee (2025). We are committed to reducing this by 25% to 4.5 tCO2e per FTE employee by 2035, and to continuing on a trajectory to Net Zero by 2050. Progress against these targets will be reported in each annual update, and the projected trajectory is shown below.

Figure: projected emissions intensity (tCO2e per FTE) from the 2025 baseline to Net Zero by 2050, with the 2035 interim target.

We will continue to implement the carbon reduction measures set out below to progress toward our Net Zero commitment

Carbon Reduction Projects

The following measures are in place or planned, and will be in effect when performing the contract:

  • Reduce business travel needs by using virtual meeting and collaboration tools and encourage public ground transportation and lower-carbon commuting and travel practices (e.g. ridesharing, trip consolidation) when feasible.
  • Cloud efficiency - optimising our use of cloud infrastructure (right-sizing, reducing idle resources, and efficient architecture) to lower compute-related emissions, and benefiting from our cloud provider's ongoing transition to renewable energy.
  • Engagement with our office providers on renewable electricity supply and energy efficiency.
  • Continue office recycling and improved waste segregation.
  • Formally commencing ISO 14001 (Environmental Management System) certification to support ongoing measurement and improvement.

In addition, the organization will continue to improve overall in monitoring and measurement of our carbon footprint.

Declaration and Sign-Off

This Carbon Reduction Plan has been completed in accordance with PPN 006 (formerly PPN 06/21) and associated guidance and reporting standard for Carbon Reduction Plans. Emissions have been reported and recorded in accordance with the published reporting standard for Carbon Reduction Plans and the GHG Reporting Protocol corporate standard, using the appropriate Government emission conversion factors for greenhouse gas company reporting (and recognised international factors for non-UK operations).

Scope 2 emissions, and the required subset of Scope 3 emissions, have been reported in accordance with the published reporting standard for Carbon Reduction Plans and the Corporate Value Chain (Scope 3) Standard.

This Carbon Reduction Plan has been reviewed and signed off at director level within Proximie Limited.
